Terms of Service

These Terms of Service ("Terms") govern your engagement of the digital marketing services provided by Henry Aqua Transport LLC ("us", "we", or "our"). By signing a service agreement or Statement of Work (SOW) with us, you ("Client") agree to these Terms.

1. Services and Deliverables

Henry Aqua Transport LLC will provide the digital marketing services as described in the mutually agreed-upon SOW. This SOW will detail the scope of work, project timelines, deliverables, and fees. Any work requested by the Client outside of this scope will be considered a new project and will require a separate SOW or addendum.

2. Client Obligations

The Client agrees to provide timely access to all necessary materials, data, and personnel required for Henry Aqua Transport LLC to perform its duties. This includes, but is not limited to, website access, analytics data, brand guidelines, and content. The Client is responsible for the accuracy and legality of all information and materials provided to Henry Aqua Transport LLC.

3. Payment Terms

Fees for services will be invoiced as outlined in the SOW. Typically, services are billed on a monthly retainer basis, with payment due prior to the start of each service period. Payments are non-refundable. Ad spend for paid media campaigns is a direct cost to the Client and is not included in our management fees. Late payments may result in a suspension of services and will accrue interest at a rate of 1.5% per month.

4. Timelines and Delays

Henry Aqua Transport LLC will make every reasonable effort to meet the project timelines outlined in the SOW. However, these timelines are estimates and are dependent on the Client's timely provision of feedback, content, and approvals. Henry Aqua Transport LLC is not liable for any delays caused by the Client's failure to meet their obligations.

5. Intellectual Property

Upon full and final payment, the Client shall own all final deliverables created by Henry Aqua Transport LLC as part of the engagement. Henry Aqua Transport LLC retains ownership of all its proprietary tools, methodologies, software, and pre-existing materials used in the creation of the deliverables. We reserve the right to display our work for the Client in our portfolio and marketing materials, unless otherwise specified in writing.

6. Limitation of Liability and Disclaimers

Henry Aqua Transport LLC agrees to provide services in a professional manner but makes no guarantees regarding specific results or outcomes, such as search engine rankings, lead volume, or revenue. Our total liability under any circumstances is limited to the amount of fees paid by the Client to Henry Aqua Transport LLC in the one (1) month preceding the claim. We are not liable for any indirect, incidental, or consequential damages.

7. Termination

Either party may terminate the service agreement with thirty (30) days' written notice, unless a different term is specified in the SOW. The Client is responsible for payment for all services rendered up to the effective date of termination. Upon termination, Henry Aqua Transport LLC will cooperate in the transition of all account access and data back to the Client.
